These Business Partner Terms and Conditions (“Agreement”) set forth the terms under which Loloma Rewards Pte Ltd, a company incorporated in Fiji (“Loloma Rewards”, “we”, “our”, or “us”), engages with third-party Business Partners (“you”, “your”, or “Partner”) who wish to participate in or support the Loloma Rewards ecosystem.

By registering as a partner, signing any agreement, or using our Partner Services, you agree to be bound by the following terms.

1. Partnership Scope

• Partners may include vendors, merchants, service providers, sponsors, or affiliates who wish to offer products, services, or rewards through the Loloma Rewards platform.
• Loloma Rewards may offer exposure, access to customers, promotional activities, or reward-based integrations in exchange for commercial collaboration.
• The scope of the partnership will be defined through a written agreement, proposal, or offer letter signed by both parties.

2. Onboarding and Eligibility

To be eligible as a partner, you must:

• Be a legally registered entity in Fiji (or authorized to operate in Fiji).
• Provide accurate business documentation, such as TIN, VAT certificate, and valid company registration
• Comply with all applicable laws, including the Fiji Competition and Consumer Commission Act and Data Protection Act 2021.

3. Loloma Rewards Program

• Rewards can be earned through purchases, referrals, or participation in events.
• Rewards are non-transferable and cannot be redeemed for cash.
• Unused rewards may expire as per stated timeframes.
• Any misuse or fraudulent behavior may result in suspension or termination of your account.

4. Responsibilities of the Partner

As a Partner, you agree to:

• Provide all agreed goods or services in accordance with the quality, pricing, and timelines committed.
• Honour all rewards, vouchers, or promotions listed through the Loloma Rewards program, without discrimination or unreasonable limitations.
• Maintain fair trading practices and not misrepresent your offerings to customers.
• Respond promptly to customer service or dispute issues involving your business.
• Keep your business and product information up-to-date with Loloma Rewards.

5. Fees and Commission (if applicable)

Any applicable revenue-sharing model, referral fees, or commissions will be outlined in a separate written agreement.

• Loloma Rewards reserves the right to deduct agreed commissions or fees before remitting payments to the Partner.
• Payment terms will be outlined (e.g., 30 days from invoice date), and all payments will be made in Fijian Dollars (FJD).

6. Intellectual Property

Each party retains ownership of its trademarks, trade names, logos, and intellectual property.

• Partners may not use the “Loloma Rewards” brand or assets without written permission.
• Any co-branded marketing must be pre-approved by Loloma Rewards in writing.

7. Confidentiality

Each party agrees to keep confidential any sensitive business, financial, or customer information disclosed during the course of the partnership. This obligation will survive termination of this Agreement for a period of two (2) years.

8. Data Protection

• Partners agree to comply with all applicable data protection laws, including the Fiji Data Protection Act 2021, when collecting, using, or sharing personal data of customers.
• Any data shared by Loloma Rewards shall only be used for the purpose of fulfilling the partnership and not for unsolicited marketing or unauthorized use.

9. Warranties and Disclaimers

• Each Partner represents and warrants that:
• It has the authority to enter into this Agreement.
• Its goods and services comply with all relevant laws and do not infringe on any third-party rights.
• Loloma Rewards makes no guarantees regarding customer volume, redemption rates, or specific results from the partnership.

10. Termination

• This Agreement may be terminated:
• By either party with 30 days’ written notice.
• Immediately by Loloma Rewards if the Partner engages in fraud, misconduct, or breach of applicable laws or these Terms.
• Upon termination:
• All outstanding fees must be settled within 30 days.
• Use of branding, systems, or customer data must cease immediately.

11. Limitation of Liability

• To the maximum extent permitted by law:
• Neither party shall be liable for indirect or consequential damages.
• Total liability under this Agreement is limited to the total value of commissions or transactions conducted in the previous 90 days.

12. Governing Law and Dispute Resolution

• This Agreement is governed by the laws of the Republic of Fiji.
• Any disputes shall first be resolved through good faith negotiation. If unresolved, disputes may be referred to mediation or the High Court of Fiji.

13. General Provisions

• This Agreement does not create a partnership, agency, or employment relationship.
• No waiver of rights under this Agreement shall be effective unless in writing.
• If any provision is found invalid, the remainder of the Agreement shall continue in full force.
